Why This Matters

This bill lets employers leave restricted stock units (company shares promised to workers and handed over after a waiting period) out of the hourly pay rate used to figure overtime. Stock options and employee stock purchase plans have had this treatment since 2000.

If you earn overtime and get stock units from your job, the value of those shares would not raise your time-and-a-half rate, and you could not recover past overtime tied to earlier grants.
Who this affects
Hourly workers paid overtime · Employees receiving company stock · Employers offering stock awards · Union-covered workers
What changes is this bill making?
  1. 1To qualify, a stock unit program must meet the same conditions current law sets for stock options, including that accepting the shares is voluntary for workers.
  2. 2Employers cannot be sued for leaving stock unit value out of overtime pay on grants made before the rules take effect, which is 90 days after the bill becomes law.
  3. 3Companies whose existing stock unit plans need shareholder approval to change get 12 more months of protection for new grants.
  4. 4Stock unit programs offered under a union contract in effect on the start date are also protected from overtime pay claims.
